Welcome to the IdeaInvestor platform (the “Platform”), located at https://ideainvestor.net, operated by [Ideainvestor Company] (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Platform, including all services, tools, and content provided through the Platform. The Platform enables businesses to submit performance claims, with admin-supported evaluation of financial health across finance, market, customer, and staff metrics, using a scoring system to recommend businesses to investors. By accessing or using the Platform, you (“User,” “you,” or “your,” including Businesses and Investors) agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
1. Purpose of the Platform
The Platform is designed to empower small and medium enterprises (“Businesses”) by providing tools to:
Submit and manage performance claims across finance (e.g., revenue, profits), market (e.g., market share, growth), customer (e.g., retention, satisfaction), and staff (e.g., engagement, turnover) metrics.
Receive admin-supported evaluations of financial health, resulting in a scoring system to assess business performance.
Showcase business performance, including optional Environmental, Social, and Governance (ESG) metrics, to attract Investors.
Access industry knowledge and business improvement tools, including ESG-focused resources.
Enable Investors to review Business profiles, evaluate scored metrics, and identify investment opportunities based on recommendations. The Platform addresses the needs of Businesses often overlooked by larger financial institutions, promoting societal progress through economic empowerment and research.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms.
Businesses must be validly registered in their jurisdiction and provide accurate registration details during account creation.
Investors must comply with applicable securities laws and regulations in their jurisdiction, including accreditation requirements where applicable.
You represent that you have the authority to bind your organization (if applicable) to these Terms.
3. Account Registration and Security
Registration Requirements: To access the Platform, Users must create an account and pay applicable subscription fees (see Section 8). Required information includes:
For Businesses:
Business registration details (e.g., company name, registration number, address).
A valid email address and phone number for the account administrator.
A list of employees, including each employee’s email address and phone number, to facilitate staff metric evaluations and platform communications.
Optional ESG metrics (e.g., carbon emissions, diversity policies, governance practices) to enhance investor appeal.
For Investors:
Identity verification details as specified during account setup.
A valid email address and phone number for communication and account management.
Optional investment preferences, including interest in ESG-aligned Businesses.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access or breach at support@ideainvestor.net.
Accuracy: You agree to update your account information, including employee lists, contact details, and ESG metrics (if provided), promptly to ensure accuracy. We reserve the right to suspend or terminate accounts with false, incomplete, or outdated information.
Employee Data (Businesses): By providing employee email addresses and phone numbers, Businesses warrant that they have obtained necessary consents from employees for the collection, use, and processing of such data in accordance with applicable data protection laws (e.g., GDPR, CCPA, India’s DPDP Act 2023, Vietnam’s ND 13/2023) and our Privacy Policy.
Investor Data: By providing email addresses and phone numbers, Investors consent to their use for platform-related communications, including recommendations and account management, as outlined in our Privacy Policy.
4. Investor Obligations
Accurate Information: Investors must provide and maintain accurate contact information to ensure effective, targeted communications from the Platform.
Professional Conduct: Investors agree to engage with Businesses in a professional manner, respecting confidentiality and avoiding actions that could harm the reputation of Businesses or the Platform.
Compliance with Communications: Investors must adhere to platform communication protocols, responding to legitimate inquiries from Businesses and refraining from unsolicited messages outside designated channels.
Due Diligence: Investors are responsible for conducting independent due diligence on Business opportunities, including financial health scores and ESG claims, and must not rely solely on Platform recommendations.
Regulatory Compliance: Investors must comply with applicable securities laws, including accreditation requirements (e.g., SEBI regulations in India), when evaluating or pursuing investment opportunities.
5. Business Obligations
Accurate Claims: Businesses must submit accurate and verifiable performance claims across finance, market, customer, and staff metrics. False or misleading claims may result in account suspension or termination.
ESG Data Accuracy: Businesses providing ESG metrics must ensure their accuracy and may be subject to platform verification to maintain credibility.
Employee Data Consent: Businesses warrant that they have obtained employee consent for sharing contact details used in staff metric evaluations.
Scoring Cooperation: Businesses agree to provide additional data or clarification as requested by platform administrators to support accurate financial health scoring.
Compliance: Businesses must comply with applicable laws, including tax, labor, and ESG regulations in their jurisdiction.
6. Financial Health Scoring and Recommendations
Scoring System: The Platform’s administrators evaluate Business performance based on submitted claims in four categories: finance, market, customer, and staff. A proprietary scoring system generates a financial health score to reflect business viability and attractiveness to Investors.
Admin Support: Platform administrators may request additional data or documentation to verify claims and ensure accurate scoring. Businesses must respond promptly to such requests.
Recommendations: Based on financial health scores and optional ESG metrics, the Platform recommends Businesses to Investors with aligned preferences. Recommendations are for informational purposes only and do not constitute investment advice.
Transparency: The scoring methodology is proprietary, but general criteria are disclosed in the Platform’s documentation. We reserve the right to adjust scoring algorithms without notice.
No Guarantee: We do not guarantee the accuracy of scores or the success of Investor recommendations. Users assume all risks associated with investment decisions.
7. Data Use Policies
Collection and Purpose: We collect personal and business data, including employee and administrator contact details, Investor contact details, performance claims, ESG metrics, and financial health scores, to:
Facilitate platform operations (e.g., scoring, recommendations, communications).
Provide targeted Investor-Business matching, including ESG-focused opportunities.
Enable account management and support services.
Support anonymized research for societal and economic insights (see Section 8).
Use of Data: User data is used solely for:
Operating and improving the Platform (e.g., generating scores, sending notifications).
Facilitating Investor-Business interactions (e.g., recommending ESG-aligned Businesses).
Complying with legal obligations (e.g., audits, regulatory reporting).
Conducting anonymized research to promote SME growth and sustainability.
Sharing of Data: We do not sell or share User data with third parties except:
With User consent (e.g., sharing Business profiles with Investors).
As required by law or to protect our rights (e.g., legal requests).
With service providers acting on our behalf, bound by confidentiality and data protection agreements.
In anonymized form for research purposes (see Section 8).
Data Retention: We retain User data only as long as necessary for platform operations, legal requirements, or research purposes. Upon account termination, identifiable data is deleted per our Privacy Policy and applicable laws.
User Control: Users may update or correct their data, including ESG metrics, via account settings or by contacting support@ideainvestor.net. Businesses must ensure employee data remains accurate and consented.
8. Research Data Sharing
Purpose: To promote societal progress and economic research, we may use anonymized, aggregated data (e.g., performance metrics, ESG indicators, industry trends) for academic, industry, or policy research.
Consent: By using the Platform, Users consent to the use of their anonymized data for research. Users may opt out via account settings, without affecting other platform functionalities.
Partners: Research data may be shared with trusted partners (e.g., universities, think tanks) under strict confidentiality agreements for non-commercial research purposes.
Impact: Research aims to enhance SME policies, promote ESG adoption, and address economic challenges overlooked by larger financial institutions.
9. ESG-Focused Businesses
Encouragement: Businesses are encouraged to submit ESG metrics (e.g., environmental impact, social policies, governance practices) to attract Investors prioritizing sustainability.
Verification: ESG data must be accurate and may be subject to platform verification to ensure credibility.
Investor Matching: The Platform prioritizes matching ESG-focused Businesses with Investors expressing ESG preferences, enhancing funding opportunities.
Resources: The Platform provides tools and knowledge to help Businesses improve ESG practices, fostering sustainability.
Compliance: Businesses and Investors engaging with ESG data must comply with applicable ESG regulations (e.g., SEBI’s BRSR in India, EU SFDR).
10. Fees and Payments
Subscription Fees: Access to the Platform requires subscription fees for both Businesses and Investors, as outlined during account setup. Fees cover access to scoring, recommendations, and premium features (e.g., advanced analytics, ESG tools).
Payment Terms: Fees are non-refundable unless otherwise stated. Users agree to pay all applicable taxes and provide valid payment information.
Fee Changes: We may modify fees with 30 days’ notice via email or Platform announcement.
Non-Payment: Failure to pay fees may result in account suspension or termination.
Free Trials: Limited free trials may be offered, subject to usage limits and promotional terms.
11. Investor-Business Interactions
No Investment Advice: The Platform provides tools for Businesses to showcase performance and for Investors to evaluate opportunities. We do not provide financial, investment, or legal advice. Users must conduct their own due diligence and consult professionals before entering investment agreements.
Confidentiality: Businesses and Investors agree to treat non-public information shared through the Platform as confidential and use it solely for evaluating investments.
No Guarantee: We do not guarantee the accuracy of Business data, scores, or investment suitability. Investors assume all risks associated with investment decisions.
Compliance: All investment activities must comply with applicable securities laws in the relevant jurisdictions.
12. Intellectual Property
Our IP: The Platform, including its design, code, content, scoring algorithms, and tools (excluding User Content), is owned by [Ideainvestor Company] or its licensors and protected by intellectual property laws. You may not copy, modify, or distribute our IP without written consent.
User IP: You retain ownership of your User Content (e.g., performance claims, ESG data) but grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and process it solely to operate, improve, and conduct research via the Platform.
Feedback: Feedback or suggestions provided about the Platform may be used by us without obligation or compensation to you.
13. Privacy and Data Protection
- Business profiles may be created by the platform (admin) from publicly available sources.
- Investors and businesses are encouraged to verify or claim their profiles for accuracy.
- We reserve the right to modify or remove content deemed misleading or outdated.
- Platform-generated Fit Scores are informational only and do not constitute investment advice.
- Your use of the Platform, including submission of employee and Investor contact details, performance claims, and ESG metrics, is subject to our Privacy Policy, which explains how we collect, use, and protect your data.
- Businesses warrant that they have obtained employee consent for data collection and processing.
- Investors warrant that their contact details are accurate and may be used for platform communications.
- We implement reasonable security measures but cannot guarantee absolute security. You use the Platform at your own risk.
14. Termination
By You: You may terminate your account by contacting support@ideainvestor.net. Termination does not relieve obligations incurred prior to termination (e.g., unpaid fees).
By Us: We may suspend or terminate your access for violating these Terms, non-payment, unlawful conduct, or if your use harms the Platform or other Users.
Effect of Termination: Upon termination, access ceases, and we may delete your User Content, including performance and ESG data, subject to applicable laws.
15. Disclaimers
The Platform is provided “as is” and “as available” without warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee the accuracy, completeness, or reliability of User Content, financial health scores, or recommendations.
We are not responsible for disputes between Businesses and Investors or losses from investment decisions.
16. Limitation of Liability
To the fullest extent permitted by law:
Our total liability for claims arising from these Terms or Platform use is limited to the amount you paid us in the 12 months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or opportunities, even if advised of their possibility.
17. Indemnification
You agree to indemnify, defend, and hold harmless [Ideainvestor Ltd., Co], its affiliates, officers, directors, and employees from claims, losses, or damages arising from:
Your violation of these Terms or applicable laws.
Your User Content or Platform use, including performance claims, ESG data, or employee data.
Disputes between Users (e.g., Businesses and Investors).
18. Governing Law and Dispute Resolution
Governing Law: These Terms are governed by the laws of [Insert Jurisdiction, e.g., Delaware, USA], without regard to conflict of law principles. For users in India, these Terms are also subject to applicable Indian laws (e.g., DPDP Act, SEBI regulations).
Dispute Resolution: Disputes will be resolved through binding arbitration in [Insert City, e.g., Wilmington, Delaware], conducted by [Insert Arbitration Body, e.g., American Arbitration Association], except for claims eligible for small claims court. For Indian users, arbitration may be conducted in Mumbai via the Mumbai Centre for International Arbitration. You waive any right to participate in class actions.
Injunctions: We may seek injunctive relief in court to protect our intellectual property or confidential information.
19. Modifications to Terms
We may update these Terms, with changes posted on the Platform and a revised “Last Updated” date.
Continued use after changes constitutes acceptance of the updated Terms.
Material changes will be notified via email or Platform announcement at least 30 days in advance.
20. Miscellaneous
Entire Agreement: These Terms, with the Privacy Policy, constitute the entire agreement between you and us regarding the Platform.
Severability: If any provision is invalid, the remaining provisions remain enforceable.
No Waiver: Our failure to enforce any right does not waive that right.
Assignment: You may not assign your rights or obligations without our consent. We may assign these Terms without your consent.
Force Majeure: We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, cyber-attacks).
Language Support: Support is available in English and, for Indian users, Hindi, with additional regional languages (e.g., Tamil, Bengali) upon request to ensure accessibility.
